Specialist Agreement

This agreement governs your participation in the TurboGPU Specialists program. By completing onboarding, you confirm you have read, understood, and agree to be bound by these terms. This document is in addition to the generalTerms of ServiceandPrivacy Policy, which apply to all platform users.
1. Eligibility & engagement
- You are at least 18 years old and may legally work as an independent contractor in your country of residence.
- You are joining as an independent contractor, not as an employee. This agreement does not create an employment, agency, partnership, or joint venture relationship.
- You are responsible for your own taxes, insurance, and any benefits in your jurisdiction.
- Specialist accounts are invite-only. Activation requires admin approval after onboarding.
- TurboGPU may suspend or terminate your specialist status at any time, with or without notice, for any reason — including but not limited to: SLA breaches, customer complaints, security incidents, or low quality of work.
2. Service-Level Agreement (SLA)
- First response: within one (1) business day of claiming a request.
- Scheduled sessions: arrive on time. If you cannot attend a confirmed session, notify the customer and admin at least four (4) hours in advance.
- No-show: a specialist no-show triggers a full refund to the customer plus a 25-credit goodwill credit. Repeated no-shows lead to suspension.
- Active claim cap: you may hold at most three (3) active claims at any time, to keep response times sharp.
- Out-of-scope work: if a request exceeds the SKU's scope, post a quote for the additional work or flag admin to mediate. Do not silently absorb scope creep.
3. Confidentiality & data handling
- You will treat all customer data, project files, credentials, machine contents, and communications as strictly confidential.
- You will not copy, retain, redistribute, or use customer data for any purpose other than fulfilling the requested service.
- You will delete any local copies of customer files within seven (7) days of request closure unless otherwise agreed in writing.
- You will not contact a customer outside the TurboGPU platform regarding their request, account, or any related matter.
- Confidentiality obligations survive termination of this agreement indefinitely.
4. Customer access & security
- Pair sessions only. Live work happens over screen share — Parsec, Moonlight, Zoom, or similar — with the customer present. You will not request, accept, or use customer RDP / SSH credentials.
- File handoff for async work. For render-as-a-service or automation work where the customer is not present, accept files only via the customer's link (Drive / Dropbox / S3) and run on your own machine or a TurboGPU-provisioned machine.
- You will not install unauthorized software, persistent backdoors, or telemetry on customer machines.
- You will report security incidents (suspected credential exposure, malware, account compromise) to security@turbogpu.tech within 24 hours of discovery.
5. Conduct & communication
- All customer-facing communication happens inside the request thread on the platform. Do not ask for or use external email, phone, or social channels.
- You will conduct yourself professionally: no harassment, hate speech, or discriminatory conduct of any kind.
- You may use a pseudonymous display name (first name only) to protect your identity. Customers see "TurboGPU Specialist" plus your display name and category.
- You will not make commitments outside the agreed scope of the SKU without first posting a quote.
6. Intellectual property
- Customer files, models, project assets, and outputs remain the customer's property at all times.
- Generic scripts, configurations, and tooling you build during a request remain yours, but you grant TurboGPU and the customer a perpetual, royalty-free licence to use anything delivered as part of the requested service.
- You will not include proprietary, third-party-licensed, or copyrighted material in deliverables unless you have rights to do so.
7. Compensation & payouts
- Payouts are arranged off-platform and detailed in your individual specialist agreement. Default rates depend on SKU, category, and seniority.
- You are paid for time logged against requests that reach
DELIVEREDorCLOSEDstatus. Cancelled requests pre-IN_PROGRESS are not billable. - Payout cycles, methods, and currency are documented separately. Reach out to admin with payout questions.
- You are responsible for all taxes, withholdings, and reporting in your jurisdiction.
8. Refunds & disputes
- If a customer disputes a delivery, admin will mediate. You agree to provide reasonable evidence of work performed (notes, screen recordings, deliverable links) when asked.
- Admin's resolution on a dispute (including any partial or full refund) is final for the purposes of platform billing. Your separate compensation may be adjusted accordingly.
- Repeated unfavourable dispute resolutions may result in suspension.
9. Non-solicitation
For the duration of your participation in the program and for twelve (12) months after termination, you will not solicit TurboGPU customers (acquired through the platform) for services that compete with TurboGPU’s specialist offerings.
10. Termination
- Either party may end this agreement at any time, for any reason, by notifying the other in writing.
- On termination, you will complete or hand off any active claims as instructed by admin and delete confidential customer data within seven (7) days.
- Confidentiality (Section 3), IP (Section 6), and non-solicitation (Section 9) survive termination.
11. Liability
You are responsible for the work you deliver. To the extent permitted by law, you indemnify TurboGPU against losses, claims, and damages arising from breach of this agreement, gross negligence, or willful misconduct on your part.
TurboGPU’s total liability to you under this agreement is limited to the value of compensation owed to you for completed work in the trailing 90 days.
12. Governing law
This agreement is governed by the laws of England and Wales. Disputes that cannot be resolved informally will be settled by the courts of England and Wales.
13. Changes
We may update this agreement. Material changes will be communicated by email to your specialist account address at least seven (7) days before they take effect. Continued participation after the effective date constitutes acceptance.
